These Customer Terms of Use comprise a legal agreement between you ('you', 'your', or 'Customer' or 'Guest') and SpotTab (ABN 20 908 290 229) ("SpotTab", "we", "us", or "our"). These terms govern your access to and use of any of our services ("Services"), which include scanning SpotTab QR codes, browsing digital menus, placing orders, and making payments through the SpotTab platform or associated subdomains (e.g., menu.spottab.com, all of which are the exclusive property and copyright of SpotTab).
By accessing, browsing, or using the Services, you agree to be bound by these terms. If you do not agree to these terms, you must immediately cease using the Services.
We reserve the right, at our sole discretion, to modify, amend, or replace these Customer Terms of Use at any time from time to time without prior individual notice. Any such changes will be effective immediately upon posting to this page with the updated date. It is your sole responsibility to review these terms periodically for any changes. Your continued access to or use of the Services following the posting of any updates constitutes your binding acceptance of the revised terms.
1. Pure Software Utility & Decoupling
SpotTab provides a proprietary software-as-a-service (SaaS) platform, including all associated subdomains (e.g., menu.spottab.com, all of which are the exclusive property and copyright of SpotTab) and related digital properties (collectively, the "Platform"), designed to facilitate digital menu display and order routing between dining guests ("Guests" or "you") and independent hospitality operators ("Merchants").
You explicitly acknowledge and agree that SpotTab is not a party to any transaction, agreement, or contract between you and the Merchant. SpotTab is a pure technical intermediary providing digital utility software. We do not prepare food, act as a restaurant, sell goods, handle transactions, or deliver physical products.
2. Limitation of Liability & Food Safety
Because SpotTab has no oversight or control over kitchen practices, product procurement, or food and beverage preparation by the Merchant, you agree that SpotTab disclaims all liability and is not responsible for any issues or claims arising from your interactions, orders, or transactions with the Merchant.
- Food Safety & Quality: The Merchant is the sole preparer and vendor of record, and is exclusively liable for compliance with all health, safety, hygiene, preparation, and labeling laws. SpotTab disclaims all liability for any foodborne illness, allergic reactions, food safety issues, or physical injury.
- Dietary & Allergen Listings: All dietary tags, allergen indicators, ingredient lists, and menu descriptions displayed on the Platform are input solely by the Merchant. SpotTab does not verify, audit, or guarantee the accuracy of any dietary claim or information. Guests must verify all ingredients directly with the Merchant's physical staff.
- Platform Status: The Platform is provided on an "AS-IS" and "AS-AVAILABLE" basis. If the Platform experiences downtime or technical errors, Guests must utilize the Merchant's traditional physical menu and payment options. SpotTab is never liable for delayed orders, service issues, or system errors.
3. Decoupled Payments & Financial Transactions
All financial transactions initiated via the Platform are direct contracts between you and the Merchant, securely routed through third-party payment processing networks (such as Stripe and Square). SpotTab is not a bank, payment processor, or financial intermediary. SpotTab never ingests, collects, or holds funds.
All disputes regarding pricing accuracy, transaction errors, surcharges, taxes, refunds, or payment processing failures must be resolved directly and exclusively with the Merchant. SpotTab possesses no legal authority to issue refunds, reverse charges, or arbitrate payment disputes on behalf of the Merchant or processing networks.
You acknowledge that your contract of sale is exclusively with the Merchant. While the Platform provides receipt-generation, tax-indication, and invoice-formatting features on behalf of the Merchant (including calculating and displaying estimated GST based on details configured by the Merchant), SpotTab is not the vendor of record, supplier, or issuer of such documents. All receipts, invoices, or tax calculations displayed or generated via the Platform are provided strictly as an indicative software convenience. SpotTab disclaims all liability for the accuracy, legality, or tax-compliance of any such documents, and all transaction or consumer guarantee queries must be resolved directly and exclusively with the Merchant.
4. Alcohol & Age-Restricted Sales
The purchase, handling, and consumption of alcohol or any other age-restricted products is strictly a bilateral transaction between you and the Merchant. The Merchant remains solely and exclusively responsible for complying with all applicable liquor licensing laws, checking legal identification, and upholding all Responsible Service of Alcohol (RSA) guidelines. SpotTab has zero oversight, role, or liability in the verification, sale, or consumption of restricted goods.
By purchasing alcohol or age-restricted items through the Platform, you warrant that you are at least 18 years of age (or the legal drinking age in your jurisdiction). You agree to present valid, government-issued physical photo identification to the Merchant's staff upon service. You acknowledge and agree that the Merchant possesses the ultimate authority and final say to verify identification, refuse service, or cancel alcohol items. Any refunds, order reversals, or cancellations resulting from non-compliance with local liquor laws or Responsible Service of Alcohol (RSA) guidelines are decided solely by the Merchant in accordance with their venue policies. SpotTab is not responsible, liable, or involved in any such merchant-directed refund decisions or dispute resolutions.
5. Prohibited Conduct
To maintain the integrity and security of the Platform, you are strictly prohibited from:
- Automated Access: Using any robot, spider, scraper, or other automated means to access the Platform for any purpose, including data collection (scraping).
- Malicious Intent: Attempting to interfere with the proper working of the Platform, including spamming, botting, or submitting fraudulent orders.
- Security Circumvention: Attempting to bypass any measures we may use to prevent or restrict access to the Platform.
SpotTab reserves the right, in its sole discretion and without notice, to block or terminate access to the Platform (via IP blocking or other technical identifiers) for any user suspected of violating these terms or engaging in conduct harmful to the Platform or its Merchants.
6. Intellectual Property
The structure, organization, and code of the Services are valuable trade secrets and confidential information of SpotTab. You shall not, and shall not attempt to, reverse engineer, decompile, disassemble, or scrape the Services.
All subdomains issued (e.g., [name].spottab.com) remain the exclusive property of SpotTab. No rights are granted to users other than the limited right to browse the Merchant's digital menu display in a web browser.
7. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
